Terms of Service | Watertower

Terms of Service

Effective October 21, 2026

These Terms of Service ("Terms") are a binding agreement between you and Attorney Scaler LLC, a Florida limited liability company doing business as Watertower ("Watertower," "we," "us" or "our"). Watertower is a brand of Attorney Scaler LLC. These Terms govern your use of the Watertower website, software, templates and services (together, the "Service"). By booking a call, paying for or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please read Section 19. It requires most disputes to be resolved by individual arbitration and waives class actions and jury trials.

1. The Service

Watertower provides software and setup services that let licensed insurance professionals launch advertising campaign templates on their own advertising accounts and manage the leads those campaigns generate, including automated follow-up, calling and CRM tools. Watertower is software and a setup service. We are not a lead vendor, insurance carrier, insurance agency, marketing compliance reviewer, law firm or financial advisor, and we are not affiliated with, endorsed by or sponsored by Meta Platforms, Inc., any other advertising platform or any insurance carrier.

2. Eligibility and your account

  • You must be at least 18, able to enter a binding contract and using the Service for business purposes only.
  • If you market insurance, you are responsible for holding every license and carrier appointment required for what you sell and where you sell it.
  • You are responsible for all activity under your account and for keeping your logins secure. Tell us right away if you believe your account was accessed without permission.

3. Fees, billing and usage charges

  • Setup fee: a one-time setup fee is charged at signup.
  • Subscription: the monthly subscription fee is charged at signup for your first month and then automatically every month on the same date until you cancel. You authorize us to charge your payment method for all fees when due.
  • Ad spend is separate. You pay advertising costs directly to the ad platform (for example Meta) with your own payment method. We do not control ad platform pricing, auctions or billing, and we never refund ad spend.
  • Usage charges: some features, such as text messages, phone calls, phone numbers, AI conversations or voice features, email sending and texting registration fees, may carry usage-based charges from third-party providers. Unless your plan says these are included, they are billed to you at cost or as stated at signup.
  • Failed payments: if a payment fails, we may retry the charge and suspend the Service, including pausing automations and campaign support, until your account is current.
  • Price changes: we may change prices for future billing periods with at least 30 days notice. Founding member pricing is honored as stated at your signup for as long as your subscription stays active without interruption.
  • Chargebacks: if you believe a charge is wrong, contact us first so we can fix it. Filing a chargeback or payment dispute for a charge you authorized is a breach of these Terms, voids the guarantee in Section 5 and may result in immediate suspension.
  • Prices do not include taxes. You are responsible for any applicable taxes.

4. Cancellation and termination

  • No long-term contract. You may cancel anytime by contacting us in writing before your next billing date. Cancellation stops future charges, and you keep access through the end of the period you already paid for.
  • Except as stated in Section 5, all fees paid are non-refundable, including setup fees, partial months and unused time.
  • We may suspend or end your access at any time if you breach these Terms, fail to pay, use the Service unlawfully, create legal or platform risk for us or other customers, or treat our team abusively. If we end the Service without cause, we will refund any prepaid subscription fees for the unused period.
  • When your subscription ends, your access to our software, templates and automations ends. Your ad account, ad history and leads stored in your ad account remain yours. You are responsible for exporting any data you want to keep before your access ends.

5. Launch and Leads Guarantee

48-hour launch. If we do not launch your first campaign within 48 hours after you have provided everything we need (ad account access, business page, a working payment method on your ad account, your licensed states and your product), we will refund your setup fee on request.

10 leads in 7 days. If your campaign does not generate at least 10 leads in the first 7 days after your ads are approved and delivering, we will refund your setup fee on request, as long as all of the following are true:

  • You spent at least $50 per day on the campaign for each of those 7 days.
  • The campaign used our templates and setup, and no one changed the ads, targeting, forms, budget or settings without our written approval.
  • Your ad account, business page and payment method remained active and in good standing for the full 7 days, without restrictions, rejections, disabled accounts or payment failures.
  • You gave us the required access within 48 hours of signup and responded to our reasonable requests.
  • You have not filed a chargeback or payment dispute.
  • You request the refund in writing within 14 days after the 7-day period ends.

A "lead" means a form submission, message or inquiry generated by the campaign, whether or not you were able to reach that person or they qualified for a policy. This guarantee covers the setup fee only, applies once per customer and is your sole remedy for campaign performance. It does not cover subscription fees, usage charges or ad spend. Other than this guarantee, we do not promise any number of leads, cost per lead, contact rate, appointments, policies, sales or income.

6. Ad platforms and third-party services

The Service depends on platforms and providers we do not own or control, including Meta (Facebook and Instagram), CRM and hosting providers, phone and text messaging carriers, payment processors and AI providers. We are not responsible for, and do not owe you any refund, credit or damages because of, anything these third parties do or fail to do, including:

  • Restricting, disabling, suspending or banning your ad account, Business Manager, business page, personal profile or payment method
  • Rejecting, limiting or removing ads, or changing how ads are reviewed or delivered
  • Changing advertising policies, special ad categories, targeting options, pricing, auctions or algorithms
  • Requiring identity or business verification, or delaying approvals
  • Billing errors, payment holds or spending limits on your ad account
  • Carriers filtering, blocking or delaying text messages or calls, or declining texting registrations
  • Outages, errors, data loss, API changes or discontinued features

Your use of each platform is governed by that platform's own terms and policies, which you are responsible for following. We may change or replace third-party providers at any time.

7. Leads, results and AI features

  • Lead quality is not guaranteed. Leads come from people responding to ads on your account. Some may provide wrong, fake or duplicate information, may not answer, may not qualify or may not buy. We do not replace, refund or credit leads.
  • Past results are examples, not promises. Any historic spend, cost per lead, lead counts, launch counts or results shown on our website, in demos or in sales conversations come from past campaign data, including data from other users of the same templates. Your results depend on your budget, product, states, competition, follow-up speed, sales skill and platform decisions outside our control.
  • AI-generated content. Some ad copy, messages and responses may be generated or assisted by AI. AI output can be inaccurate or unsuitable. You are responsible for reviewing and approving any content before it runs or is sent on your behalf.
  • No professional advice. Nothing we provide is legal, compliance, tax, financial or insurance advice. Talk to your own advisors and your carriers or marketing organization about what you may advertise and how.

8. Your compliance responsibilities

You are solely responsible for your advertising and for every contact you make with your leads. This includes following:

  • Telemarketing and texting laws, including the Telephone Consumer Protection Act, the Telemarketing Sales Rule, federal and state Do Not Call rules and state laws such as the Florida Telephone Solicitation Act
  • Insurance advertising and marketing rules from your state departments of insurance, your carriers and your marketing organization, including any requirement to have ads approved
  • Medicare and CMS marketing rules, including required disclaimers and limits on contacting beneficiaries, if you market Medicare products
  • Privacy, data security and consumer protection laws that apply to how you collect, store and use lead information
  • Meta's and any other platform's advertising policies

You must review and approve your campaigns, ad copy, forms and automated messages before launch and make sure they are accurate and allowed for your products and states. Approving or launching a campaign means you accept responsibility for its content. We may refuse to run, or may pause, any campaign or message we believe creates legal or platform risk.

9. Access you give us

You authorize us to access your ad account, business page, CRM sub-account and related tools as needed to build, launch, monitor and adjust your campaigns and automations. You may revoke access at any time, but doing so may stop the Service from working and ends any guarantee in Section 5. We are not responsible for changes made by you, your team or anyone else with access to your accounts.

10. Testimonials and case studies

If you receive founding member or other promotional pricing in exchange for a testimonial or case study, you agree to provide a short written or video testimonial and permit us to share your campaign results (such as screenshots of lead counts and cost per lead) in our marketing. We will not publish your leads' personal information. You may ask us to stop using your name at any time for future materials.

11. Text messages and communications from us

By giving us your mobile number or replying to our messages, you agree to receive texts from Watertower about scheduling, your account and our services. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Carriers are not liable for delayed or undelivered messages. You also agree that we may send notices, receipts and agreements electronically, and that electronic communications satisfy any requirement that they be in writing. See our Privacy Policy.

12. Intellectual property

Our software, templates, ad copy, creative, workflows, scripts, training and materials remain our property or our licensors' property. While your subscription is active, you receive a limited, non-exclusive, non-transferable license to use them for your own business through the Service. You may not copy, resell, share, reverse engineer or build a competing product from them. Feedback you give us may be used without obligation to you. Your leads, your ad account and your own content remain yours.

13. Acceptable use

You may not use the Service to break any law, to send messages or make calls without any consent the law requires, to run misleading or deceptive ads, to impersonate anyone, to collect data unlawfully, to upload malicious code, or to interfere with the Service or other users.

14. Availability and data

We aim to keep the Service available but do not promise it will be uninterrupted, error-free or always available. We may change, update or discontinue features at any time. We are not responsible for lost data, so please keep your own copies of anything important.

15. Disclaimers

Except for the guarantee in Section 5, the Service is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, results, accuracy and uninterrupted availability.

16. Limitation of liability

To the fullest extent allowed by law, Attorney Scaler LLC and its owners, members, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost commissions, lost data, ad spend or business interruption, however caused, even if we were told they were possible. Our total liability for all claims relating to the Service is limited to the fees you paid us in the 3 months before the event giving rise to the claim. Any claim must be brought within one year after it arises.

17. Indemnification

You agree to defend, indemnify and hold harmless Attorney Scaler LLC and its owners, members, employees and contractors from any claims, fines, penalties, damages, losses and costs, including reasonable attorneys' fees, arising from your ads, your contact with leads, your texts and calls, your violation of any law or platform policy, your breach of these Terms, or content you provide or approve.

18. Relationship of the parties

We are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship, and neither party may bind the other.

19. Disputes, arbitration and class action waiver

Please contact us first, and we will try in good faith to resolve any issue within 30 days. If we cannot, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held in Miami-Dade County, Florida (or by video). Either party may instead bring an individual claim in small claims court, and either party may seek temporary injunctive relief in court to protect intellectual property or confidential information. You and we each waive any right to a jury trial and to participate in a class, collective or representative action. If this arbitration agreement is found unenforceable, disputes will be brought only in the state or federal courts located in Miami-Dade County, Florida.

20. Governing law

These Terms are governed by the laws of the State of Florida and applicable federal law, without regard to conflict of law rules.

21. Other terms

  • Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control, including platform outages or policy changes, internet or carrier failures, natural disasters or government action.
  • Entire agreement: these Terms, any order or checkout terms and our Privacy Policy are the entire agreement between us about the Service. Sales conversations do not change these Terms unless confirmed by us in writing.
  • Severability: if any part of these Terms is unenforceable, the rest stays in effect.
  • Assignment: you may not transfer these Terms without our consent. We may assign them, including in connection with a merger, sale or reorganization of our business or a change of our legal name.
  • No waiver: not enforcing a term is not a waiver of it.
  • Survival: sections on fees owed, intellectual property, disclaimers, limitation of liability, indemnification and disputes survive the end of your subscription.
  • Changes: we may update these Terms. The effective date at the top shows the latest version. Material changes apply to your next billing period after notice. Continued use means you accept them.
